Greater Cleveland Chapter

CONSTITUTION

Article I. NAME

The name of this organization shall be the American Council of the Blind, Greater Cleveland Chapter, hereinafter to be known as ACB of Cleveland.

Article II. PURPOSE

ACB of Cleveland is a non-profit organization dedicated to improving the independence and quality of life for children and adults who are blind or visually impaired through education, support, and advocacy.

Article III. Office

The principal office of the chapter shall be in the Cleveland area at the home of the President of the chapter or at the home of another officer designated by the President.

Article IV. AMENDMENTS

Amendments to the Constitution and Bylaws shall be presented to the chapter members, which shall arrange for a full discussion of the matter at subsequent scheduled meeting(s); after said meeting(s), all members shall receive a copy of the proposed amendment(s) and notice of when it is to be voted upon. All changes to the Constitution require a two-thirds majority of members present. All changes to the Bylaws require a simple majority of members present. To vote on amending either the Constitution or Bylaws, a quorum of members (as defined in the Bylaws) must be present at the meeting (in-person or virtual).

Article V. PROCEEDINGS

Unless otherwise specified, Robert’s Rules of Order Revised and 501(C)(3) Regulations of the Internal Revenue Code will govern proceedings of ACB of Cleveland.

Article VI. CHAPTER DISSOLUTION

This organization may cease to exist or be dissolved by affirmative vote of two-thirds of its membership or when a meeting of its members has not been held for one year. Upon dissolution of the chapter the officers shall, after paying or making provisions for payment of all liabilities of the chapter, dispose of all the assets of the chapter exclusively for the purpose of the organization or other organizations which qualify as tax exempt organizations, under section 501(c)(3), at that time. Should the chapter cease to exist, preference in the distribution of assets shall be given to the American Council of the Blind of Ohio and to ACB National in that order. Any assets not so disposed of shall be disposed of by the Court of Common Pleas of the county in which the chapter has its principal office.
